Terms of Use of Trademarks, Copyrights and other contents

  1. Introduction

These terms of use of trademarks, copyrights, and other content (“Terms of Use of Trademarks, Copyrights, and other Content”) apply to any kind of use of any content (as defined below) available from time to time at this website (the “Website”) by licensees, authorised resellers, customers, and other authorised parties (“the User”) in their business activities who wish to use content which is the property of Society of Lifestyle A/S and its affiliates (“Society of Lifestyle”).

By downloading, accessing, and using content from the Website the User acknowledges and agrees to be legally bound by the Terms of Use of Trademarks, Copyrights, and other Content in force at any time.

Society of Lifestyle may adjust and amend the Terms of Use of Trademarks, Copyrights, and other Content from time to time without notice. It is the User’s own responsibility to keep updated on the applicable version of these terms at any time.

 

  1. Content

All content, including but not limited to, all trademarks, copyrights, trade names, product descriptions, logos, images, fonts, videos and related work (“the Content“) available on the Website from time to time is considered as intellectual property rights owned by Society of Lifestyle.

The Content is provided “as-is” meaning that the Content is provided in whatever condition it exists presently.  Society of Lifestyle does not warrant that any of the Content on its Website is accurate, complete, or current.

The Content on the Website may contain technical, typographical, or photographic errors. However, Society of Lifestyle is not obligated to correct any errors or maintain the Content.

Society of Lifestyle makes no warranties of any kinds, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose. Further, Society of Lifestyle does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the Content on its Website or otherwise relating to such materials or on any sites linked to this Website.

Society of Lifestyle may adjust and amend the Content from time to time without notice. It is the User’s own responsibility to keep updated on the newest, applicable version of the Content at any time.

 

  1. User licence

Provided that the User is granted a user licence by Society of Lifestyle and that the use complies with the Terms of Use of Trademarks, Copyrights, and other Content, the User is granted a time-limited, non-exclusive, non-transferable right to use the Content currently available on the Website (“User Licence”).

Only the User is entitled to use the Content. The User can only use the Content for the purpose of marketing and selling deliveries for Society of Lifestyle or brands owned by Society of Lifestyle.

The User may only use the newest, applicable version of the Content available at the Website at any time.

The Content may only be used as expressly permitted unless otherwise permitted by mandatory legislation in force.

It is expressly not permitted to:

  1. Break or circumvent any technical limitations,
  2. Imitate the Content
  3. Modify or change the Content,
  4. Use older versions of the Content
  5. Remove any copyright or other proprietary notations from the Content,
  6. Sell, sublicence, rent, lease, lend or transfer the Content to a third party,
  7. Use the Content in a way that violates any applicable national or international legislation or regulation,
  8. Use the Content in a way which infringes Society of Lifestyle or others,
  9. Use the Content in unlawful activities, competing activities or activities which can damage Society of Lifestyle.

 

  1. Changes to the Content

Society of Lifestyle may at its own discretion and at any time decide to let the Content under-go changes, upgrades, updates, releases, maintenances, development services and amendments in general from time to time. However, Society of Lifestyle has no obligation to do so.

 

  1. Intellectual property rights

Society of Lifestyle is the owner and author of all intellectual property rights in and related to the Content. This also applies to all modifications thereto, including but not limited to both current and future versions of such material. 

The User acquires no property rights or intellectual property rights to the Content. Nothing in the Terms of Use of Trademarks, Copyrights, and other Content constitute a transfer of ownership of the Content or any other intellectual property rights owned by Society of Lifestyle. This also applies to any improvements, modifications, adjustments, updates, upgrades, etc. of the Content. The User must respect such intellectual property rights, and the User is responsible for any breach of such rights, including unauthorized access to and use of the Content by third parties.

 

  1. Acceptable Use of trademarks 

The trademarks owned by Society of Lifestyle may only be used as expressly permitted in these Terms of Use of Trademarks, Copyrights, and other Content. Other use, not expressly permitted, constitutes an infringement of Society of Lifestyle’s trademark rights and a violation of the Danish Marketing Act. This it acknowledges and accepted by the User when accepting these Terms of Use of Trademarks, Copyrights, and other Content regardless of how the User became bound of these terms.

When using trademarks owned by Society of Lifestyle, in whole or in part, the User acknowledges and accepts not in any way to interfere with Society of Lifestyle’s trademarks rights, including challenging Society of Lifestyle’s use, registration of, or application to register such trademark, alone or in combination with other words, anywhere in the world, and that the User will not harm, misuse, or bring into disrepute any trademark owned by Society of Lifestyle.

 

  1. Infringement of third party’s rights

Society of Lifestyle is under no circumstances responsible for the User’s use of the Content, including but not limited to any violation of third-party rights caused by the User’s use of the Content.

 

  1. Links

Society of Lifestyle has not reviewed all the sites linked to its Website and, therefore, Society of Lifestyle is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by Society of Lifestyle of the site. Use of any such linked site is at the User’s own risk.

 

  1. Limitation of liability

Society of Lifestyle is under no circumstances responsible for the User’s use of the Content, which means that the User cannot make any claim against the Society of Lifestyle in relation to claims arising from the User’s use of the Content.

 

  1. Failure to comply

The User’s non-compliance with the applicable Terms of Use of Trademarks, Copyrights, and other Content at any time, gives Society of Lifestyle access to immediately and without notice to suspend or terminate the User Licence and the User’s access to the Content without incurring liability.

Society of Lifestyle may at any time and without notice at its sole discretion and without incurring liability exclude a User from the Website if the User at the Society of Lifestyle’s discretion violates the Terms of Use of Trademarks, Copyrights, and other Content in force at any time.

If the User uses the Content in violation of these Terms of Use of Trademarks, Copyrights, and other Content, Society of Lifestyle may immediately and without notice cancel or terminate the granted User Licence and related agreements between the parties with immediate effect on the grounds of material breach.

 

  1. Audit and information

Society of Lifestyle is at any time and without prior notice entitled to verify the User’s compliance with these Terms of Use of Trademarks, Copyrights, and other Content. Such verification may be in the form of electronic access to the Content as used by the User and any records therein. The User must provide reasonable assistance to Society of Lifestyle with these verification tasks. 

Neither of the Parties are liable for the other Party’s costs related to this clause. Regardless of the above, the User is liable for any costs paid by Society of Lifestyle if an audit reveals any non-compliance with the Terms of Use of Trademarks, Copyrights, and other Content on the part of the User.

 

  1. Effect of termination

Upon termination of the granted User Licence, regardless of the reason, the User must immediately refrain from any use of and delete all copies of the Content and remove them from the User’s systems, websites, medias etc.

 

  1. Governing Law and Disputes

Any claim, dispute, controversy which may arise in connection with the Terms of Use of Trademarks, Copyrights, and other Content and/or the delivery including disputes concerning the existence or validity of the Terms of Use of Trademarks, Copyrights, and other Content, shall be settled at the option and discretionary choice of Society of Lifestyle either by the ordinary court of Denmark, at Society of Lifestyle’s venue, or by arbitration at the Arbitration Institute in Copenhagen (Voldgiftsinstituttet) in accordance with the relevant rules adopted by the Arbitration Institute, as in force from time to time. The seat of the arbitration shall be in Aarhus, Denmark.
